Terms of service
The terms we
work under
Website use and the framework for professional engagements. Specific work is governed by a signed scope of work.
These terms govern your use of this website and set out the general framework under which Vittarax Ventures Private Limited(trading as Vittarax) provides professional services. Specific engagements are governed by a separate signed statement of work, which prevails over these terms where they conflict.
1. Acceptance of terms
By accessing this website you agree to these terms. If you do not agree, please do not use the site. We may update these terms from time to time; the version published here is the version that applies to website use.
2. About the firm
The firm is Vittarax Ventures Private Limited, trading under the brand name Vittarax. References to “Vittarax”, “we”, “us”, or “our” mean the company unless a signed engagement document identifies a different contracting party. We provide tax consultancy and compliance support alongside digital and web development services. The two practices may be engaged separately or together.
3. Tax consultancy and compliance services
Tax services may include income tax and GST support, tax planning and compliance, accounting and bookkeeping support, business tax compliance, notice assistance, and related professional coordination. The precise scope of any tax engagement is defined in the applicable statement of work. Tax outcomes depend on complete and accurate information you provide and on applicable law at the relevant time.
4. Digital and web development services
Digital services may include website design and development, web portals and applications, UI and digital platforms, hosting and maintenance, and IT consulting or business technology support. Deliverables, environments, acceptance criteria, and support windows are as stated in the statement of work for that engagement.
5. Engagement, scope, and statement of work
- Each engagement begins with a signed statement of work describing scope, deliverables, timeline, and fees.
- Where these terms and a statement of work conflict, the statement of work prevails for that engagement.
- Changes to scope are agreed in writing before the affected work starts.
- You may engage tax services, digital services, or both; each line of work is scoped independently unless the statement of work says otherwise.
6. Client information, documents, and statutory deadlines
You agree to provide timely access to the people, systems, documents, and information the work depends on. Delivery estimates and statutory filing timelines assume that dependencies you own are available as agreed. Delays in providing complete or accurate information may affect outcomes, deadlines, and fees. You remain responsible for decisions you make and for statutory obligations that rest with you as the taxpayer or business.
7. Fees and payment
Fees are stated in the statement of work, exclusive of applicable taxes and pre-approved expenses. Invoices are payable within the period stated on the invoice (or 30 days if none is stated). We may suspend work on accounts that remain overdue after written notice.
8. Confidentiality
Each party will protect the other’s confidential information with reasonable care, use it only for the engagement, and return or destroy it on request subject to legal retention duties. These obligations survive termination and are supplemented by any mutual non-disclosure agreement in force.
9. Intellectual property (digital projects)
For digital engagements, deliverables created specifically for you become your property on payment in full, unless the statement of work says otherwise. Vittarax retains ownership of its pre-existing materials, tools, frameworks, and know-how, and grants you a licence to use them as embedded in the deliverables. Website content, trademarks, and the Vittarax name remain our property.
10. Third-party tools and services
Work may involve third-party platforms, hosting providers, payment processors, government portals, or software licences. Those third parties have their own terms. We are not responsible for outages, policy changes, or defects in third-party systems outside our reasonable control, except to the extent a statement of work assigns specific operational responsibility to us.
11. Disclaimer
Content on this website is general information only. It is not advice for your specific situation and is not a substitute for a formal professional engagement. Tax, compliance, and technology recommendations depend on facts you share with us under a signed engagement. Where work requires regulated certification, audit, attestation, or other reserved professional acts, we coordinate with appropriately qualified professionals; nothing on this website represents that Vittarax performs every such reserved act itself.
12. Limitation of liability
Subject to applicable Indian law, and except where liability cannot lawfully be limited (including fraud or wilful misconduct), neither party is liable for indirect, incidental, or consequential loss, or loss of profit, revenue, or data. Our aggregate liability arising from an engagement is limited to the fees paid for that engagement in the twelve months preceding the claim, unless the statement of work states a different cap.
13. Termination
Either party may terminate an engagement on written notice as stated in the statement of work, or immediately for material breach that is not remedied within a reasonable cure period. On termination you pay for work performed and committed costs up to the termination date, and we hand over completed deliverables and work in progress as agreed.
14. Governing law
These terms and any engagement under them are governed by the laws of India, unless a statement of work specifies otherwise. Courts of competent jurisdiction in India have exclusive jurisdiction, subject to any mandatory consumer or other protections that cannot be waived.
